* TERMS AND CONDITIONS YOUR USE OF THIS SERVICE AND PLATFORM HEREBY CONSTITUTES YOU HAVE READ THE TERMS AND CONDITIONS CONTAINED IN THESE TERMS AND CONDITIONS ("AGREEMENT") AND THAT YOU AGREE TO BE BOUND BY ALL OF THE TERMS CONTAINED. IF YOU DO NOT AGREE TO ALL OF THE TERMS CONTAINED IN THIS AGREEMENT, YOU SHOULD NOT USE THIS SERVICE AND PLATFORM. NOIC RESERVES THE RIGHT TO ALTER ANY OR ALL OF THE TERMS OF THIS AGREEMENT AT ANY TIME AND WITH OR WITHOUT NOTICE; YOU AGREE TO BE BOUND BY THE PROVISIONS OF THIS AGREEMENT AT THE TIME THEY APPEAR AND YOU ACCESS THE SERVICE AND PLATFORM. 1. Definitions a. 'Loan Officer' means the Loan Officer listed on the Firepoint page; Loan Officer is a NOIC employee, who is licensed to originate residential mortgage loans in the states associated with his/her NMLS licensure. b. 'NOIC' means NOIC, NOIC Home Mortgage Lender, The Northern Ohio Investment Company, and www.NOIC.com; Concord Mortgage Group and www.concordmortgagegroup.com; and Ownium, Ownium Home Mortgage, Ownium Mortgage and www.ownium.com - which are divisions of NOIC, Inc. - and its vendor partners. c. 'You' or 'Your' means the customer using the service and platform. 2. Access a. NOIC provides you the right to use and access this service and platform subject to this Agreement solely for purposes of applying and/or pre-qualifying for a mortgage loan with NOIC. By providing your information, you certify you are of lawful age in accordance with your applicable jurisdiction. b. By submitting your information, non-public personal information (as that term is used under state and federal law), phone number and the like (collectively, "Information") you certify you are the lawful owner and/or authorized user of that Information. You are granting NOIC a limited license to use those credentials for application and/or pre-qualification for a residential mortgage loan. c. At all times you remain responsible for submitting truthful and accurate information as what normally would be expected in Uniform Residential Loan Application taken through paper, oral or other means. d. You are responsible for providing your own network connection and use of your data. e. By submitting the Information, you acknowledge that the phone number and/or email address provided is either (1) not on a state or federal Do Not Call Registry or (2) expressly permit Loan Officer and/or NOIC to contact you despite being on a state or federal Do Not Call Registry. f. By providing a time that is before 8:00 am or after 9:00 pm local time, you are expressly authorizing NOIC and/or Loan Officer to contact you at the preferred time and expressly waive any claim you might have under the Telephone Consumer Protection Act. 3. Service and Platform a. Loan Officer provides this service and platform through a third party which has granted Loan Officer a limited license. For this reason, unless otherwise clearly stated, neither NOIC nor Loan Officer warrants or guarantees nor licenses the service and platform to you. b. You understand that the third party which has granted Loan Officer a limited license to use this service and platform is not an NOIC vendor. 4. Restrictions a. You are prohibited from reselling, modifying, changing, altering, or amending the service or platform or using in a manner inconsistent with the purpose of applying and/or seeking pre-qualification of a mortgage loan through NOIC, in whole or in part. b. You shall not use the service and platform for purposes of spamming, flooding, disseminating a computer code or virus, or attempting to gain access to NOIC or network infrastructure or any other similar action which results in unauthorized access, jamming or entry to the same. c. You certify that the information you provide complies with the laws of your jurisdiction and does not violate the rights of any party, including those not clearly contemplated by this Agreement. d. Unless you indicate otherwise, in writing, either through the Questions, Comments or Concerns box or to the Loan Officer's email, by submitting your Information you authorize NOIC and/or Loan Officer to contact you via text message for application and/or pre-approval for a residential mortgage loan. 5. Confidentiality a. The Information you provide is for the purpose of obtaining a mortgage loan and otherwise will be kept confidential. NOIC will use commercially reasonable efforts to secure your Information. NOIC is not responsible for unauthorized access to your Information where such access occurred, in whole or in part, based on your negligence, gross negligence or willful misconduct. b. You grant NOIC the right to synthesize and re-compile the Information you provide to aid in an efficient and quality mortgage lending experience. c. You acknowledge NOIC's privacy policy and consent to the sharing preferences expressed in the document. 6. Security Breach a. NOIC strives to keep your information confidential, but nonetheless realizes a security or data breach may occur. Should a breach occur, NOIC will comply with state and federal laws in providing you the required notice, as applicable. b. NOIC cannot be liable for any breach Firepoint, or any of its vendors or third parties, may have. 7. Termination a. This Agreement begins upon your submission of Information - in whole or in part - and continues indefinitely until the earlier of (i) your written communication clearly communicating an intent to end the relationship delivered to Loan Officer's email, or (ii) you violate a term of this Agreement. b. Notwithstanding the foregoing, you recognize and agree that NOIC has recordkeeping obligations that may require it to maintain your Information for a minimum period of time in order to comply with applicable laws. 8. Effect on Mortgage Process a. You acknowledge that by proceeding with a transaction and/or accepting this Agreement, unless otherwise clearly stated, NOIC is not granting/offering an approval, pre-approval, pre-qualification or otherwise for a mortgage loan, product, rate, term or otherwise. 9. Monitoring and Recording a. By proceeding with a transaction and/or accepting this Agreement, you agree and recognize, that your communications with NOIC through, including but not limited to, e-mail, telephone, or text message may be recorded and/or monitored and you are consenting to the recording or monitoring of the same. 10. Reasonable Expectations a. NOIC endeavors to provide a quality mortgage lending experience in an on-time and efficient manner, using reasonable efforts to have your application fully processed and, if approved, closed on or prior to any rate lock expiration. However, NOIC cannot be responsible for delays in the closing process, including but not limited to those attributable to your failure to timely provide necessary Information, issues raised by investors or agencies, delays attributable to title agents or their agents, or any other matters or issues beyond NOIC's control. 11. Disclaimer a. UNLESS OTHERWISE STATED IN THIS DISCLAIMER, THIS SERVICE AND PLATFORM PROVIDED IS ON AN "AS IS" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, WARRANTY OF NON-INFRINGEMENT, AND TITLE AND AGAINST IMPLIED INFRINGEMENT. 12. Limitation of Liability a. By using and/or accessing the service and platform you agree to hold NOIC and its affiliates, agents, directors, employees, officers, and stockholders harmless against all actions, claims, costs, damages, demands, expenses, judgments, liabilities, losses, restitution, settlements, and suits (including but not limited to reasonable attorneys' fees and costs), whether or not involving a third party claim, which arise out of or relate to, including but not limited to, any breach or violation of any covenant or other obligation or duty under this Agreement or applicable law, any violation under applicable law, in each case whether or not caused by the negligence of the aforementioned parties and whether or not the relevant claim has merit. b. You agree to be held liable to NOIC where your actions cause NOIC to breach a term of its contractual relationships with its vendor partners in an amount only to be limited by the settlement of the parties or adjudication of the same. c. You agree to be held liable to NOIC for any misstatement of information which may lead a violation of law in an amount only to be limited by settlement of the parties or adjudication of the same. 13. Governing Law, Venue, and Jury Trial a. This Agreement shall be governed by, interpreted under, and in accordance with the laws of the State of Ohio without regard to conflict of law provisions. You and NOIC agree that litigation may be brought exclusively in the state or federal courts within the judiciary district of the United States District Court of the Northern District of Ohio, agreeing also to waive any objection to such jurisdiction and venue. You agree to waive your right to trial by jury for any and all issues arising under this Agreement or Service and Platform. 14. Severability a. The invalidity or unenforceability of any provision of this Agreement shall not affect the validity or enforceability of any other provision of this Agreement, which shall remain in full force and effect. 15. Entire Agreement a. This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written concerning the subject matter of this Agreement.
